Abstract

This thesis investigates three critical factors for the success of corporate spin-offs: the role of shared corporate culture, the balance between operational independence and parent company support, and the impact of resource transfer. Using KINTO, Toyota's mobility-focused spin-off, as a case study, it examines the dynamics that influence spin-off performance, integrating academic theories with practical insights. The thesis is structured across four chapters. The first chapter provides a literature review and conceptual framework on the types and challenges of spin-offs. The second chapter details the methodology, which includes qualitative interviews and internal document analysis to understand KINTO’s strategic alignment with Toyota. The third chapter examines the context of KINTO’s establishment and the synergies and challenges in its relationship with the parent company. The final chapter discusses findings, highlighting the importance of a shared culture, balanced governance, and managed resource transfer. This research contributes valuable insights for organizations, suggesting that while spin-offs benefit from parent company support, they must develop their own identity and competencies to succeed. The recommendations emphasize the need for flexible governance, adaptable culture, and resource strategies that foster sustainable independence.
